Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Udyamik platform and any application offered on it (“Services”). By signing up, clicking “Agree”, or using the Services, you enter into a binding agreement with Udyamik Technologies Private Limited (“Udyamik”, “we”, or “us”).
1. Acceptance
By creating an account, subscribing to a plan, inviting users, or otherwise using the Services, you confirm that you have read, understood and agreed to these Terms, along with our Privacy Policy, Cookie Policy, and Refund & Cancellation Policy.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract under Indian law. If you are using the Services on behalf of an organisation (a school, lender, clinic, etc.), you confirm that you have the authority to bind that organisation to these Terms.
3. Account registration
Udyamik does not use passwords. You sign in via a One-Time Password (OTP) sent to your registered phone number or email address, plus an optional device-bound PIN for quick re-authentication on trusted devices. You agree to:
- Provide accurate and current registration information.
- Keep your trusted devices, PIN, and OTP confidential.
- Promptly notify us if you suspect unauthorised access (security@udyamik.com).
You are responsible for activity under your account, including actions taken by users you invite as members of your tenant.
4. Plans, billing and taxes
Plans, prices and feature entitlements are published at /pricing. Unless otherwise stated:
- All advertised prices are GST-inclusive at the prevailing rate (currently 18% as applicable to B2B SaaS under the CGST / SGST / IGST regime).
- Your tax invoice — generated on each billing cycle — shows the applicable GST split.
- Billing is anniversary-based (not calendar-month-end) and may be monthly or annual. Annual billing is priced at 10 months (two free).
- Fees are charged in advance for the upcoming cycle. Usage-based overage (WhatsApp messages, Sahayak queries beyond the plan quota) is billed post-paid in the following cycle where the plan permits overage.
- You authorise Udyamik to charge the payment method you provide through Razorpay for amounts owed under your plan.
Non-payment past the due date may result in suspension (read-only state) after 7 days and termination after 30 days. Refunds and cancellations are governed by our Refund & Cancellation Policy.
5. Acceptable use
You agree NOT to:
- Use the Services to send spam, phishing messages, or any communication prohibited under the WhatsApp Business Policy, the Telecom Commercial Communications Customer Preference Regulations (TCCCPR), or applicable law.
- Attempt to probe, scan, reverse-engineer, decompile, or otherwise extract source code, data schemas, or cryptographic keys from the Services.
- Circumvent rate limits, quotas, or entitlement checks.
- Upload malware, illegal content, or content that infringes any third party's intellectual property, privacy, or other rights.
- Resell, sublicense, or offer the Services (or any derivative) as a product to third parties without our prior written consent.
- Use the Services to process data categories classified as “Critical Personal Data” under the DPDP Act (e.g. biometric, health records beyond standard school health notes) without a written addendum.
6. Intellectual property
- Our IP: Udyamik, its trademarks, the software, code, documentation, design, and content of the Services are owned by Udyamik Technologies Private Limited or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services per your plan.
- Your data: You retain all rights to the data you upload into the Services (student records, fee structures, attendance rolls, uploaded documents, etc.). You grant us a licence to process that data solely to operate the Services on your behalf.
- Feedback: If you send us feature requests, bug reports, or ideas, you grant us an unrestricted, royalty-free licence to use them without obligation.
7. Third-party services
The Services integrate with third-party providers, including Razorpay (payments), Meta / Interakt (WhatsApp messaging), and OpenAI (Sahayak AI). Your use of those integrations is subject to each provider's own terms. We are not responsible for third-party service availability, pricing, or policy changes, but we will notify you of material changes that affect the Services.
8. Service availability
- Starter plan: no formal uptime SLA. Reasonable-effort operation.
- Pro plan: target 99.0% monthly uptime, measured on the app control plane (
app.udyamik.com), excluding scheduled maintenance. - Enterprise plan: 99.9% monthly uptime with service credits documented in the plan-specific order form.
Scheduled maintenance will be announced at least 24 hours in advance on the in-app banner and via email to tenant admins, except for emergency security patches.
9. Suspension and termination
We may suspend or terminate the Services (in whole or in part) for: (a) non-payment past the grace period; (b) breach of these Terms (including §5 Acceptable Use); (c) legal or regulatory direction; (d) security incident response. Except in emergencies, we give you at least 7 days' notice before termination so you can export your data.
You may cancel your subscription at any time from the Settings page or by emailing billing@udyamik.com. Cancellation takes effect at the end of the current billing cycle. Upon termination, your tenant moves to a 30-day read-only state (during which you can export data), then to archival per our data-retention schedule.
10. Limitation of liability
To the maximum extent permitted by Indian law:
- The Services are provided on an “as is” and “as available” basis. We disclaim all warranties not expressly granted in these Terms.
- Our aggregate liability to you under or in connection with the Services, whether in contract, tort, or otherwise, will not exceed the fees you have paid to us in the 12 months immediately preceding the event giving rise to the claim.
- In no event will we be liable for indirect, incidental, special, consequential, punitive, or exemplary damages (including loss of profits, revenue, data, or goodwill), even if advised of the possibility.
Nothing in these Terms excludes liability that cannot be excluded under applicable law (e.g. death or personal injury caused by our negligence, fraud, or liability for wilful misconduct).
11. Indemnity
You agree to indemnify, defend and hold harmless Udyamik, its affiliates, and their respective directors, officers, employees and agents from any claim, damage, loss, or expense (including reasonable legal fees) arising from: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any law or the rights of a third party; (d) content or data you upload.
12. Governing law and dispute resolution
These Terms are governed by the laws of India. Any dispute arising under or in connection with these Terms will be resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement (or, failing agreement, by the Bombay High Court). The seat of arbitration is Mumbai, the language is English, and courts at Mumbai will have exclusive jurisdiction over matters not capable of arbitration.

14. Changes to these Terms
We may revise these Terms from time to time. Material revisions will be notified at least 15 days in advance via email and an in-app banner. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not accept a revision, you may cancel your subscription before it takes effect.
